The use of indemnities in commercial agreements to allocate risk brings with it significant consequences to the indemnifying party.
This seminar will examine the key components of an indemnity clause and provide ideas on drafting and negotiating including:
• Why include an indemnity clause?
• What are the key features of an indemnity clause?
• How will an indemnity be construed and what remedies are available?
• Cases and examples.
